Emilka Kono Custom Apparel Design Terms and Conditions

1. Scope of Work:
1.1. These terms and conditions ("Agreement") govern the provision of custom apparel design services by Emilka Kono ("Designer") to the client ("Client").

2. Custom Design Services:
2.1. The Designer agrees to provide custom apparel design services as described in the agreed-upon project proposal or work order.

3. Client's Responsibilities:
3.1. The Client agrees to provide accurate and complete information necessary for the design process.
3.2. Timely feedback and approvals are essential for the project's progress. Delays caused by the Client may impact the project timeline.

4. Design Approval:
4.1. The Client shall have the opportunity to review and approve the design concept(s) before finalization.
4.2. Once the design is approved, any subsequent changes may result in additional charges and may affect the project timeline.

5. Payment Terms:
5.1. The Client agrees to pay Emilka Kono the agreed-upon fee for custom design services as outlined in the project proposal.
5.2. A non-refundable deposit of 50% is required before the commencement of the design work, along with the cost of any add-on services. The remaining balance is due upon final design approval.

6. Shipping Policy:
6.1. All shipping costs associated with the delivery of physical items, such as prototypes or finished apparel, will be assumed by the Client.
6.2. The Client is responsible for providing accurate shipping information. Any additional shipping charges incurred due to incorrect information provided by the Client will be the Client's responsibility.

7. Intellectual Property:
7.1. Upon receipt of full payment, the Client will have the right to use the final design for the agreed-upon purpose(s).
7.2. The Designer retains the right to showcase the completed work in their portfolio and marketing materials.

8. Revisions:
8.1. The project includes 1 round of revisions. Additional revisions may be subject to additional charges.

9. Cancellation and Termination:
9.1. Either party may terminate the agreement by providing written notice.
9.2. If the Client terminates the agreement after the commencement of work, the Client shall be responsible for payment for the work completed up to the termination date.

10. Confidentiality:
10.1. Both parties agree to keep confidential any information provided by the other party that is not publicly known.

11. Force Majeure:
11.1. Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control.

12. Governing Law:
12.1. This Agreement shall be governed by and construed in accordance with the laws of Canada.

13. Amendments:
13.1. This Agreement may only be amended in writing and signed by both parties.

14. Entire Agreement:
14.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.

By engaging in the custom apparel design services provided by Emilka Kono, the Client acknowledges and agrees to these terms and conditions.
